Qualifications/Licenses

Randee is the Founder and Managing Partner of Vega Padilla and Associates, the TWL Law Group’s Partner Firm in the Philippines ("VPA Legal"). VPA Legal represents both corporate and individual clients from various industries such as Construction, Government Procurement, Agricultural Machineries, Maritime, Logistics and Supply Chain, and Real Estate.

Randee provides advice on a broad range of commercial, legal, and political issues in the Philippines and across the ASEAN region. He possesses a keen knowledge of project management and transaction advisory. He is trained in corporate and project nance with experience in project implementation, transaction structuring and commercial negotiations. He is well-trained in Mergers and Acquisitions.

Randee has facilitated numerous international deals in the Philippines having served as the Division Chief, Legal Services, of the Public-Private Partnership Center of the Philippines where he advised a mixture of private and public entities on PPP policy and conflicts of law issues. Randee also practiced law in multiple international entities where he honed his skills serving a variety of high-end international businesses.

In the Philippines, Randee attained over ten years of experience as a litigator defending the rights of corporate clients, both foreign and domestic. Randee frequently participates in panels where he shares his business law knowledge and expertise in the Philippines.

 

Randee also practiced energy law in the biggest power-generating and distribution conglomerate in the Philippines.

Representative Experience

Advised MERALCO/MIESCOR Group, as its General Counsel, the largest energy distribution company in the Philippines on its bid for the P52-billion Visayas-Mindanao Interconnection Project (VMIP), the DOLE Waste to Energy Project, and the MAYNILAD Sewage Treatment Plants Project.

Acted for the Aboitiz Group, as its Chief Compliance Officer, one of the biggest power producer and distributor companies in the Philippines, in the management of its Engineering, Procurement, and Construction (EPC) Contract for the Therma South and Therma Visayas Coal-Fired Power Plants in Davao and Cebu, Philippines, respectively, and the subsequent commissioning and operations of the two base load power plants.

 

Advised and conducted due diligence investigations for a local conglomerate in the acquisition and subsequent operations of their banking and health supplement units.

 

Advised several government contractors on the Government Procurement of agricultural machinery and equipment, Solar Powered Irrigation Systems, and various other infrastructure projects.

 

Advised the Public-Private Partnership Center of the Philippines in the following projects: Angat Hydro-Electric Power Plant (AHEPP), Mactan-Cebu International Airport (MCIA), Light Rail Transit Line 1 (LRT-1) Extension, and the NLEX-SLEX Interconnector Road.

Latest Thinking and Events

Randee conducts regular speaking engagements and seminars on Labor Law and Legislation to their corporate clients, and the public in general.

 

In partnership with local lawyer groups, the VRV Law has embarked on a corporate social responsibility program of giving pro-bono legal assistance on persons deprived of liberty (PDLs.)


Working closely with one of his clients, Randee is actively pursuing organic agriculture in the Philippines. He is advocating green farming to aid the sustainable development of farming in the Philippines.
