Mr. Théo Millet is a Senior Counsel at Thanlwin Legal with significant exposure to energy and infrastructure projects, M&A transactions as well as real estate developments in Southeast Asia.

In Myanmar, Theo focuses on assisting sponsors, lenders and EPC contractors on their private and PPP Energy and Infrastructure projects. Theo also assists the top Oil and Gas players on their upstream, midstream and downstream activities in Myanmar.

 

In addition to its Energy and Infrastructure activities, Theo is also counseling major real estate developers on their residential (condo and non-condo) and mixed-use developments in Yangon and other regions.

 

Theo has notably personally assisted the Department of Urban Housing Development under Myanmar Ministry of Construction on the drafting of the template constitution for the condominium associations required to be set up under the new Condominium Law and Rules for any condominium development in Myanmar.

Representative Experience

Energy and Infrastructure Work Highlights:

Assisted bidders for the 2020 EPGE's 1,060 MW Solar Tender. Prepared bid documentation, drafted lease agreements, consortium agreements and JVAs, EPC contracts, negotiated LoAs and PPAs with EPGE and advised on regulatory framework, particularly on land acquisition issues.

Assisted the sponsors of a landmark 1,390 MW LNG-to-Power in Mee Lin Gyaing. Helped negotiating the terms of a fee-sharing agreement to be entered into with the Myanma Port Authority with regards to an LNG-receiving terminal.

Principal advisor to Green Earth Power Thailand and their Myanmar subsidiary for the biggest solar power project in Myanmar: Minbu 170 MW Solar Project. Notably advised on the provisions of the PPA and drafted EPC and service agreements. I was instrumental in coordinating actions of the Thai and the Myanmar team to ensure the smooth operation of Phase 1 and the development of Phases 2,3 and 4 of the Project.

Assisted the sponsors of the 671 MW Shweli 3 Hydropower Project. Advised on land acquisition matters, environmental and social compliance, regulatory and licensing issues.


Real Estate Work Highlights:

Personally counseled the Department of Urban Housing Development on the drafting of the template constitution for the condominium associations required to be set up under the new Condominium Law and Rules.

Advised the largest Japanese construction company on its US$400M BOT development in Myanmar. Reviewed internal agreements pertaining to project management and project structure.

Advised a local company on its JV with a Chinese firm for the development of a US$80M hotel/service apartment BOT project. Drafted and negotiated the JVA and BOT agreement.
