Naphat is a Senior Associate working for TWLS Company Limited, the Thailand office of TWL Law Group. She has extensive experience in advising multinational corporations and local companies on mergers and acquisitions, foreign direct investment, complex commercial and corporate transactions, real estate, labour and corporate reorganizations.

Prior to joining TWLS Company Limited, Naphat was working with an international law firm in Bangkok.

 

Naphat's main practice includes drafting and negotiating commercial agreements (including sale and purchase agreements, share subscription agreements, shareholders agreements, supply agreements and construction agreements). She also has extensive experience in reviewing legal documents, and carrying out due diligence for mergers and acquisitions projects.

 

She graduated from Thammasat University, Faculty of Law (International Program in Business Law).

Representative Experience

Represented a public company operating a non-life insurance business, on the divestiture of its interests in another insurance company: drafted all the documentation and advised the client on the exit.

Represented a venture capital firm on its equity investment in a medical services company, conducted legal due diligence on the target and advised on permits and licenses required.

 

Represented a client on its land purchase in Thailand, conducted land due diligence, prepared the required documentation and proceeded for the registration at the Land Office.

 

Represented and advised a company operating a tyre cord manufacturing business on the dissolution of its factory in Map Ta Phut industrial estate; advising particularly on labor issues.

 

Represented Australian and UK companies, as foreign creditors, on their claim for repayment of debt from its subsidiary in Thailand (debtor), during the bankruptcy proceedings.

 

Advised foreign investors on their applications for Foreign Business Licenses and incentives before the Board of Investment in Thailand (BOI): coordinated and liaised with relevant officials.
